Wisconsin Registered Agent Requirements
Wisconsin registered agent representation, billed at $99 per year. Includes the office address on your filings, same-day scanning of legal mail, and reminders for state deadlines.
Every LLC, corporation, and nonprofit registered with Wisconsin's Department of Financial Institutions (DFI) must designate and continuously maintain a registered agent and registered office in the state. The requirement for LLCs lives in Wis. Stat. § 183.0115, and it follows your entity from formation until dissolution or withdrawal. We fill the role for $99 per year.
What Registered Agents Do
The registered agent is your entity's official recipient for service of process, state notices, and other legal correspondence. A lawsuit against your business starts with papers delivered to your registered agent. DFI compliance notices and annual report reminders route the same way.
The agent accepts these documents during normal business hours and gets them to you promptly, which matters because many of them carry response deadlines. Because the agent's name and the registered office address sit in the DFI's public corporate records, whatever address you use is visible to anyone who searches. That visibility is a major reason owners hire a professional service instead of listing a home address.
The Statute: Wis. Stat. § 183.0115
Wisconsin's LLC law spells out the requirements directly. You can read the full text of § 183.0115 on the state legislature's site. The essentials:
Who can serve. A natural person who resides in Wisconsin and whose business office is identical with the registered office; a domestic corporation, nonstock corporation, LLC, limited partnership, or LLP with a business office identical with the registered office; or a foreign version of one of those entities authorized to transact business in Wisconsin. The agent must consent to the appointment.
The address rule. The statute requires that the registered office "must be an actual physical location with a street address and not solely a post office box, mailbox service, or telephone answering service." The agent's business office and the registered office must be the same place.
An email address. Under § 183.0115(2), the agent must have an email address and a place of business or activity in Wisconsin.
Can an Entity Serve as Its Own Registered Agent?
Ready when you are. Ordering takes about five minutes.
Order HereNo. Wisconsin is explicit on this point, and the DFI prints the rule on its own paperwork: both Form 502 (the Articles of Organization) and Form 13 (the Statement of Change) state that "The entity may not name itself as its own registered agent."
An individual owner is a different matter. A member or manager who resides in Wisconsin and keeps a business office identical to the registered office can hold the role personally. Whether that is wise is another question.
Should You Be Your Own Registered Agent?
Serving personally means your address enters the DFI's public database, searchable by anyone, including marketers who mine state records. It also means being physically present at the registered office through normal business hours, every business day. A vacation, a client meeting, or a remote work day creates a window where a process server can arrive and find no one. And when legal papers do arrive at your home or storefront, they arrive in front of whoever happens to be standing there.
Professional service removes those problems for a predictable $99 a year.
